These Terms of Service ("Terms") govern your access to and use of the website and services provided by Drift Automotive LLC ("Drift," "we," "us," or "our") at https://www.sellwithdrift.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Description of Services

The Platform is a software-as-a-service (SaaS) solution designed for automotive retail salespersons to list marketable inventory, communicate with customers, and grow their personal brand online. Access to the Platform requires account registration and payment of a monthly subscription fee.

2. Eligibility and Account Registration

To use the Platform, you must:

• Be at least 18 years of age.

• Provide accurate and complete information during account registration.

• Maintain the security of your account credentials.

You are responsible for all activities conducted under your account.

3. User Conduct

You agree not to:

• Engage in illegal activities or violate any local, state, or federal laws.

• Send spam or unsolicited communications to other users or third parties.

• Use the Platform in a manner that disrupts its operation or harms other users.

We reserve the right to investigate and take action, including account termination, for violations of these rules.

4. Content Ownership and License

Content on the Platform, including text, images, and other materials, may be owned by you, other users, or third parties. By submitting content (e.g., reviews, comments, uploads, or other inputs) to the Platform, you grant Drift a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the purpose of operating and promoting the Platform. You represent that you have the right to grant this license.

5. Subscription and Payments

Access to the Platform requires a monthly subscription, processed via our third-party payment processor, Stripe. You agree to:

• Pay all applicable fees in a timely manner.

• Provide accurate payment information.

• Notify us of any billing disputes promptly.

Failure to pay subscription fees may result in suspension or termination of your account.

6. Intellectual Property and DMCA Compliance

You agree to respect the intellectual property rights of Drift and third parties. We handle claims of copyright infringement under the Digital Millennium Copyright Act (DMCA) on a case-by-case basis, in compliance with local, state, and federal laws. To report infringing content, contact us at support@sellwithdrift.com.

7. Prohibited Activities

You may not:

• Resell, sublicense, or otherwise distribute access to the Platform.

• Scrape, extract, or collect data from the Platform for any purpose.

• Reverse-engineer, decompile, or attempt to access the Platform’s source code.

• Use the Platform to engage in harmful or malicious activities.

8. Termination

We may suspend or terminate your access to the Platform at our discretion, including for:

• Violation of these Terms.

• Non-payment of subscription fees.

You may terminate your account at any time by contacting support@sellwithdrift.com. Upon termination, your access to the Platform will cease, and we may delete your data in accordance with our Privacy Policy.

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, Drift shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to loss of data, profits, or business opportunities. Our total liability shall not exceed the amount paid by you for the Platform in the preceding twelve (12) months.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Dallas County, Texas.

12. Changes to These Terms

We may update these Terms to reflect changes in our services or legal requirements. We will notify you of material changes via email. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
